Welcome to Aegis Fortress. These Terms and Conditions ("Terms") govern your access to and use of the services provided by Aegis Fortress, including but not limited to insurance brokerage, surety bond arrangement, security consulting, vaulting and storage services, and any related websites or client portals (collectively, the "Services").

By requesting, purchasing, or using our Services, you ("Client", "you", "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Definitions

• "Aegis Fortress" means Aegis Fortress Limited, its subsidiaries, affiliates, and assigns.
• "Client" means the individual or entity engaging Aegis Fortress for Services.
• "Services" includes all insurance brokerage, surety bond arrangement, security advisory, vaulting, storage, and risk management services provided by Aegis Fortress.
• "Insurer" means the insurance company or surety provider underwriting the policy or bond.
• "Policy" means the insurance contract issued by the Insurer to the Client.

2. Scope of Services

Aegis Fortress acts as an independent insurance broker and surety bond producer. In this capacity, we:

• Provide advice and guidance on risk management and insurance placement;
• Source and negotiate terms with Insurers on your behalf;
• Facilitate the placement of insurance policies and surety bonds;
• Assist with claims notification and advocacy;
• Provide security consulting and vaulting/storage services under separate service agreements.

Important: Aegis Fortress is not an Insurer. All insurance policies and surety bonds are contracts solely between you and the Insurer. Our role is to advise and facilitate placement. We do not guarantee the solvency or claims-paying ability of any Insurer.

3. Client Obligations

To enable Aegis Fortress to provide Services effectively, you agree to:

• Provide complete, accurate, and timely information regarding the risk to be insured or bonded;
• Disclose all material facts that may influence an Insurer's decision to provide coverage or set premium;
• Review all policy documents, certificates, and bond forms upon receipt and notify us immediately of any discrepancies;
• Comply with all policy terms, conditions, warranties, and endorsements;
• Pay premiums and fees when due;
• Notify Aegis Fortress promptly of any changes in risk, claims, or circumstances that may affect coverage.

Failure to comply with these obligations may result in denial of coverage, policy cancellation, or refusal of a claim by the Insurer. Aegis Fortress accepts no liability for losses arising from inaccurate or incomplete information provided by the Client.

4. Fees and Compensation

Unless otherwise agreed in writing, Aegis Fortress is compensated through:

• Commission: A percentage of the premium paid by you to the Insurer, which is retained by Aegis Fortress as brokerage.
• Fee for Service: In certain circumstances, we may charge a fee for specific advisory or placement services. Any such fee will be disclosed and agreed upon in advance.
• Security & Vaulting Fees: Separate fee schedules apply for physical security, vaulting, and storage services, as outlined in individual service agreements.

All premiums and fees are due as specified in invoices. Late payment may result in policy cancellation by the Insurer.

5. Claims Handling

In the event of a claim or potential claim, you must notify Aegis Fortress immediately. We will advise on the claims process and liaise with the Insurer on your behalf. However:

• The ultimate decision on coverage and claim settlement rests with the Insurer;
• Aegis Fortress does not have authority to admit liability, settle claims, or bind the Insurer;
• You must cooperate fully with the Insurer and any appointed adjusters or surveyors;
• Any claim payments will be made by the Insurer directly to you or as provided in the policy.

6. Limitation of Liability

To the fullest extent permitted by law, Aegis Fortress shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services or reliance on advice provided. Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to Aegis Fortress for the specific Service giving rise to the claim in the twelve (12) months preceding the event.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

7. Intellectual Property

All content, trademarks, logos, and materials on the Aegis Fortress website and provided as part of our Services are the property of Aegis Fortress or its licensors. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Confidentiality and Data Protection

Aegis Fortress is committed to protecting your privacy. We will handle all personal and business information in accordance with applicable data protection laws and our Privacy Policy. We may share information with Insurers, service providers, and regulators as necessary to provide the Services and comply with legal obligations. By using our Services, you consent to such sharing.

9. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riot, fire, flood, pandemic, or governmental action.

10. Termination

Either party may terminate the provision of Services upon written notice. Termination shall not affect any rights or obligations accrued prior to the date of termination, including the obligation to pay outstanding premiums or fees. Policy cancellation terms are governed solely by the policy contract with the Insurer.

11. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Kenya.

Any dispute shall first be referred to mediation. If mediation fails, the dispute shall be resolved exclusively by the courts of Kenya. Nothing in this clause prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

12. Entire Agreement and Amendments

These Terms, together with any applicable service agreement, policy documents, and bond forms, constitute the entire agreement between you and Aegis Fortress regarding the Services. Aegis Fortress may amend these Terms from time to time. The most current version will be posted on our website. Continued use of Services constitutes acceptance of the amended Terms.
